Generation Income Properties, Inc. (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2024 (the “Form 10-Q”) by the prescribed due date for the reasons described below:
The Company could not timely file the Form 10-Q because additional time was needed for the Company to prepare its accounting records and schedules in sufficient time to allow its SEC filing vendor to complete its data tagging of the Company’s financial statements for the period ended June 30, 2024, by the prescribed deadline of 5:30pm E.T. on August 14, 2024 for the Quarterly Report on Form 10-Q. The Form 10-Q was filed on August 14, 2024 at 5:59pm E.T. shortly after the prescribed deadline and is currently available on the Securities and Exchange Commission’s website at www.sec.gov.

During the three and six months ended June 30, 2024, the Company had total revenue of $2.3 million and $4.7 million respectively, as compared to $1.3 million and $2.7 million for the three and six-month period ended June 30, 2023. Net loss attributable to GIPR for six months ended June 30, 2024 was $1.5 million, as compared to $1 million for the same period last year. As the Form 10-Q has already been filed prior to this Form 12b-25 notification, please see the Form 10-Q for detailed information regarding changes in results of operations from the corresponding period.
